TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Spy Nation website, mobile application, missions, and related services (collectively, the “Service”) operated by Enigma Solution Services, doing business as Spy Nation (“Spy Nation,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, purchasing access to a mission, or participating in any Spy Nation Mission, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You must be at least 18 years old to create an account and participate independently. If you are under 18 years of age, a parent or legal guardian must create the account and accept these Terms and the Participant Waiver on your behalf.

2. Incorporation of Participant Waiver

Participation in any Spy Nation Mission requires acceptance of the Participant Waiver, Release of Liability, Assumption of Risk, Covenant Not to Sue, Equipment Loan Agreement, and Image Release (the “Waiver”). The Waiver is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Waiver regarding physical injury, property damage, or participation risks, the Waiver shall govern.

3. Description of Service

Spy Nation provides interactive, narrative-driven, location-based missions and digital experiences. We reserve the right to modify, suspend, discontinue, or update any mission, feature, pricing structure, or part of the Service at any time without prior notice. We do not guarantee uninterrupted availability of the Service. We are not responsible for delays, interruptions, or failures caused by third-party platforms, hosting providers, mobile carriers, or force majeure events.

The Service may rely on third-party infrastructure, hosting services, mapping services, analytics providers, payment processors, and mobile platform providers. Spy Nation is not responsible for outages, data errors, or service interruptions caused by such third parties.
 

4. Account Registration and Security

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information

• Maintain updated account information

• Safeguard your login credentials

• Accept responsibility for all activity under your account

You may not:

• Share accounts

• Create accounts using false information

• Impersonate another person

• Attempt to evade suspension or termination

Spy Nation reserves the right to suspend or terminate accounts at its sole discretion.

5. Payments and Refunds

Certain missions or experiences require advance payment. All ticket sales, rescheduling terms, late arrival policies, and weather-related cancellations are governed by our Refund and Cancellation Policy, available at: https://www.spynation.ca/refundandcancellation . By purchasing a ticket or booking a mission, you agree to that policy. Spy Nation reserves the right to modify pricing at any time prior to purchase confirmation. If Spy Nation cancels an event for operational or safety reasons, refunds or vouchers will be issued in accordance with the Refund and Cancellation Policy.

6. User Conduct

You agree to use the Service lawfully and responsibly. You are prohibited from:

• Attempting unauthorized access to systems

• Reverse engineering or modifying the app

• Transmitting malware or harmful code

• Harassing staff, role players, or other participants

• Trespassing or violating property rights

• Publicly sharing mission solutions or proprietary content

• ​

Violation of these Terms may result in immediate suspension or termination without refund.

7. Location-Based Activity Disclaimer

Spy Nation Missions are self-directed and may occur in public or private environments. Spy Nation does not supervise participants in real time. You are solely responsible for:

• Following all local laws and regulations

• Observing traffic laws

• Exercising situational awareness

• Avoiding unsafe conduct

• Supervising minors under your care

The Service is not an emergency response system. In case of emergency, contact local authorities immediately.

8. Technology Disclaimer

We do not guarantee that GPS data, mapping systems, timers, mission triggers, or digital communications will be accurate, uninterrupted, or error-free. Location data may be affected by device limitations, environmental interference, or technical issues. You agree not to rely solely on the Service for navigation or safety decisions.

9. Intellectual Property

All mission content, graphics, software, storylines, audio, video, branding, and materials are the exclusive property of Enigma Solution Services. You may not reproduce, distribute, modify, publicly share, or create derivative works without express written permission. Mission solutions and proprietary content must remain confidential.

10. Limitation of Liability

To the fullest extent permitted by law, Spy Nation, Enigma Solution Services, and their affiliates, officers, contractors, representatives, and agents shall not be liable for any personal injury, death, property damage, lost profits, data loss, indirect, incidental, special, consequential, or punitive damages arising from:

• Participation in Spy Nation Missions

• Use of the Service

• Technical failures or system interruptions

• Third-party conduct or location conditions

• Environmental or weather-related conditions

In all cases, and without limiting the Waiver, any liability arising from use of the Service shall not exceed the amount paid by you for the applicable mission or Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless Spy Nation, Enigma Solution Services, and their officers, affiliates, contractors, and representatives from any claims, liabilities, damages, losses, costs, or legal fees arising from:

• Your participation in missions

• Your breach of these Terms

• Your violation of any law

• Injury or damage caused by your actions

12. Account Suspension and Termination

Spy Nation may suspend or terminate your account without prior notice if you:

• Violate these Terms

• Engage in unsafe conduct

• Damage equipment

• Interfere with mission integrity

• Breach confidentiality

We may also discontinue missions or Services without liability.

13. Privacy

Your use of the Service is governed by our Privacy Policy, available at: www.spynation.ca/privacy-policy

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes arising from these Terms shall be resolved in the courts of Ontario.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Changes to Terms

Spy Nation may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must discontinue use of the Service.
